BOM's Resolution on the establishment of Green DMC

Vietnam Container Shipping Joint Stock Company announced the resolution of the BOM dated May 14, 2012:

Article 1: The BOM approved the establishment of Green DMC Joint Stock Company:

1. Approving to contribute capital to establish Green DMC as follows:

• Company name: Green DMC Joint Stock Company
• Head office: Dinh Vu Industrial Zone, Dong Hai 2 Ward, Hai An District, Hai Phong City.
• Main functions: Cargo handling; warehouses, storage of goods; cargo transport.
• Charter capital: VND90 billion
• Vietnam Container Shipping JSC invests 85%, and other shareholders invest 15%.

2. Assigning Mr. Luong Hoai Tran as VSC’s representative in Green DMC.

3. Authorizing Mr. Luong Hoai Tran to negotiate with partners and fulfill legal procedures to set up Green DMC.

Article 2: The BOM approved to invest another VND960 million (equivalent to 96,000 shares) in Green Logistics Joint Stock Company (a joint venture) in order to raise its ownership to 35%.

Article 3: The BOM approved to buy assets attached to the land-use right on an area of nearly 4 hectares of Ngo Quyen Shipbuilding Industry Joint Stock Company.
